How TCA operates.
TCA is structured as a charitable organization operating entirely in the public interest. Its governance, funding, and activities are designed to reflect that purpose unambiguously.
A charitable foundation, not a commercial vehicle.
Nonprofit corporation
TCA is organized as a nonprofit corporation. Application for recognition of tax-exempt status as a charitable organization under Internal Revenue Code §501(c)(3) is pending with the Internal Revenue Service. TCA's governing documents prohibit distribution of earnings to insiders and restrict activities to those consistent with its charitable purposes.
Public charity
TCA is seeking classification as a public charity under §509(a)(1) and §170(b)(1)(A)(vi), supported through a broad base of charitable contributions from foundations, institutions, and the public.
Capital sources
TCA accepts charitable grants (irrevocable gifts with no right of repayment) and program-related investments from foundations (return of principal and concessionary interest only — no market-rate return). TCA does not accept commercial investment. This restriction is reflected in its governing documents.
No profit position
All returns from any program-related investment flow back to TCA's charitable programs. No individual or entity holds an ownership or profit position in TCA's activities.
Independence and accountability.

Independent board.
TCA is governed by an independent board of directors with fiduciary responsibility for the charitable mission. Officer and director positions are structured to maintain independence between leadership roles.

Expenditure responsibility.
All program-related investments are subject to expenditure responsibility procedures consistent with IRS requirements, including pre-grant inquiry, written agreements, use restrictions, and annual reporting.

Arm's-length relationships.
TCA maintains arm's-length relationships with all grantees and investees. Conflict-of-interest policies govern review of related-party activities.

Open publication.
TCA publishes its research, educational materials, and program outputs with open, public access — without restriction, embargo, or preferential terms for funders.

Financial transparency.
TCA will file and publicly disclose its Form 990 in accordance with IRS requirements once recognized as a tax-exempt organization.
Formation in progress.
TCA is in the formation phase. The organization is represented by outside counsel on matters of corporate formation, tax exemption, and governance. Founding documents, board composition, and operating budgets for the initial three-year period are being finalized in preparation for submission of Form 1023.
